Main Focus of Activity

Transaction Structuring
- Advice in connection with the structuring of the transaction, including any restructuring or carve-outs prior to implementation of the transaction

Transaction Management
- Coordination and implementation of all steps of the transaction by designated team members whose main focus is not (only) on legal work
- Support of the Due Diligence work by Legal Tech
- Management of international and interdisciplinary teams of experts

Preparation, revision and negotiation of the required documentation
- In addition to drafting, revising and negotiating purchase agreements, we also assist in the preparation, revision and negotiation of all ancillary documents (confidentiality agreements, letters of intent, joint venture/shareholders’ agreements, financing, management contracts, corporate documentation, e.g. regarding capital increases or changes to the bodies of a target company)
